Introduction These Terms and Conditions ("Terms") govern your access to and use of Solar Business Suite ("SBS", "we", "our", or "us"), a subscription-based CRM and ERP platform designed for solar businesses in India. By accessing or using our website, software, mobile application, or related services ("Services"), you agree to be bound by these Terms. If you do not agree, you must not use the Services. ________________________________________ 2. Eligibility To use the Services, you must: • Be at least 18 years old. • Have legal authority to bind your organization to these Terms. • Comply with all applicable Indian laws and regulations. ________________________________________ 3. Account Registration and Security • You must provide accurate, complete, and updated registration information. • You are responsible for maintaining confidentiality of login credentials. • You are fully responsible for all activities under your account. • You must notify us immediately of any unauthorized access or security breach. We are not liable for losses caused by failure to safeguard credentials. ________________________________________ 4. Subscription, Billing and Payment • Access to SBS requires an active paid subscription. • Pricing, billing cycle, and payment details are displayed at purchase. • Subscriptions may automatically renew unless cancelled before the renewal date. • All payments are non-refundable except where required by applicable Indian law or explicitly stated in a promotional offer. • Failure to pay may result in suspension or termination of Services. • Total liability relating to billing or subscription disputes shall not exceed the amount paid in the preceding 12 months. ________________________________________ 5. Permitted Use You agree to: • Use the Services only for lawful business purposes. • Not reverse engineer, copy, modify, resell, sublicense, or distribute the software. • Not upload malware, viruses, or harmful code. • Not attempt unauthorized access to our systems. Violation may result in immediate termination. ________________________________________ 6. Intellectual Property All intellectual property rights in the software, design, trademarks, logos, content, and technology are owned exclusively by Solar Business Suite. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with your subscription. Unauthorized reproduction or distribution may result in civil and/or criminal liability under Indian law. ________________________________________ 7. User Data and Privacy • All data entered into the platform remains the property of the user. • SBS does not claim ownership of user data. • We process data solely to provide and improve the Services. • Data handling is governed by our Privacy Policy and applicable Indian laws, including the Digital Personal Data Protection Act, 2023. While we implement reasonable security measures, no system is 100% secure. We are not liable for breaches beyond our reasonable control. ________________________________________ 8. No Warranty The Services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, including but not limited to: • Merchantability • Fitness for a particular purpose • Non-infringement • Continuous or error-free operation Use of the platform is at your own risk. ________________________________________ 9. Limitation of Liability To the maximum extent permitted under Indian law: • SBS shall not be liable for indirect, incidental, special, consequential, or punitive damages. • We are not liable for losses arising from: o Incorrect or incomplete user-entered data o Misinterpretation of reports or outputs o Business decisions made using platform information o Technical delays or outages Total liability of SBS shall not exceed the subscription fees paid by the user in the preceding 12 months. ________________________________________ 10. Indemnification You agree to indemnify, defend, and hold harmless Solar Business Suite, its directors, employees, and affiliates from any claims, damages, losses, liabilities, or expenses arising out of: • Misuse of the platform • Violation of these Terms • Violation of applicable laws • Disputes with third parties arising from your business operations ________________________________________ 11. Solar Estimate Calculator Disclaimer The Solar Estimate Calculator is provided for informational purposes only. While based on general industry standards, SBS does not guarantee accuracy, completeness, or suitability of estimates. Users must independently verify all calculations. SBS is not responsible for financial or business decisions made based on calculator results. ________________________________________ 12. Service Availability We aim for high service availability (target 99% uptime), but uninterrupted access is not guaranteed. We are not liable for downtime due to: • Scheduled maintenance • Technical failures • Third-party infrastructure issues • Events beyond our control ________________________________________ 13. Data Retention and Termination Users may cancel subscriptions at any time via dashboard settings. We may suspend or terminate accounts if: • Payments are overdue • Terms are violated • Illegal or harmful activity is suspected Upon termination: • Access will cease. • Data may be retained for a limited period as per our data retention policy. • After this period, data may be permanently deleted. ________________________________________ 14. Force Majeure We are not responsible for delays or failures due to events beyond our reasonable control, including: • Natural disasters • Power outages • Internet or telecom failures • Cyberattacks • Government actions or regulatory changes ________________________________________ 15. Modifications to Terms We may update these Terms from time to time. Updates will be posted on our website and may be communicated via email. Continued use after updates constitutes acceptance of revised Terms. ________________________________________ 16. Governing Law and Jurisdiction These Terms are governed by the laws of India. In case of disputes, parties agree to first attempt amicable resolution. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Udupi, Karnataka, India.
